Braam Kruger

Braam is a commercial attorney who specialises in outsourcing and commercial law, with a particular emphasis on Public Private Partnerships and facilities management.

Braam’s expertise can be summarised as follows :

outsourcing and public private partnerships – Braam has extensive experience in the drafting and negotiation of Outsourcing Agreements and in particular Service Level Agreements. Braam has been involved in outsourcing transactions in numerous industries, including Information Technology; Facilities Management, Financial Services and Transport (supply chain management) Industries. In addition Braam has been involved in a number of public private partnership transactions;

facilities management - Braam has extensive experience in facilities management related transactions and has been involved in numerous facilities management related transactions in South Africa, West Africa and Dubai. His experience regarding these transactions is not only limited to the legal aspects of these transactions, but includes extensive knowledge and experience relating to operational and commercial aspects of these transactions;

corporate and commercial - Braam provides legal advice to clients on corporate and commercial issues such as sales of business and shares, shareholders agreements and others; and

IT agreements - Braam provides specialised business and legal advice regarding a wide range of IT transactions.


Braam regularly presents training courses on service level agreements. In this regard he has facilitated numerous in-house training courses for public and private sector clients.

 

John McPherson

John has practiced predominantly as an IT, outsourcing and commercial attorney and business consultant since 1995, during which time he has been involved in a number of multidisciplinary projects with technical, risk management, IT and management consulting experts. 

John's main areas of expertise are:- 

transaction advising – John has assisted clients to procure or tender for the provision of goods and services;

outsourcing – John has extensive experience in the drafting and negotiation of complex outsourcing agreements ranging from IT, Facilities Management, Fleet to Supply Chain Management and Warehousing;

information technology - John acts for a number of information technology vendors and has extensive experience in the drafting of Information Technology Agreements, including Licensing Agreements, Maintenance Agreements, Distributor Agreements and Development Agreements;

corporate and commercial - John provides legal advice to clients on corporate and commercial issues including sales of business and shares, shareholders agreements and others; and

e-Commerce - John advises clients on the risks of online transacting, statutory issues and alternatives with regard to corporate structuring. In addition to this John sat on the Deloitte & Touche e-business exco and presented e-Business 101, the Deloitte & Touche international training program for e-Business, to members of the firm. 


John regularly presents papers at conferences on legal and business issues relating to contracts, outsourcing and e-business. John is also passionate about training and presents courses to clients and public forums on Basic Contract Law, Contract Management and Service Level Agreements. 

Vanda Forssman

Vanda is a commercial attorney who specialises in all forms of corporate law, mergers and acquisitions and legal due diligences.

Vanda's areas of expertise include:-

Legal due diligence – Vanda was the head of the due diligence department of one of the leading large law firms in South Africa before joining McPherson Kruger in January 2007. Vanda has conducted due diligences in various fields, including State forestry activities; leading hotel group; major retail clothing company (in liquidation); the largest medical scheme administration business in South Africa; various outdoor advertising companies in South Africa; leading newspaper group (involved in internal restructure); IT; engineering; brick manufacturing; mining; hospitals; investment companies; security; chemicals; property development and ownership; liquified gas and various other industries;

Private equity and structured finance agreements – Vanda has acted for various financial institutions and private equity investors in regard to the due diligence process and the negotiating and drafting of related agreements in respect of their funding of various MBO's, LBO's and investments in companies and businesses of listed and unlisted entities, including Acquisition Agreements (sales of shares and/or businesses), Shareholders Agreements, Funding Agreements and all related security;

Property development transactions – Vanda has advised a number of property development companies and has drafted agreements relating to all stages of the property acquisitions and developments; and

Corporate and commercial – Vanda has in excess of 10 years of experience in advising, negotiating and drafting transactions of a general commercial nature and in respect of mergers and acquisitions.

Cherryn-Paige Bissett

Cherryn-Paige is a commercial attorney whose main area of focus is in outsourcing transactions and commercial law.

Cherryn-Paige’s area’s of expertise include:

Public Private Partnerships, Tenders generally. Cherryn-Paige has extensive experience in reviewing of tender documentation for bid submissions and providing clients with advices relating to such documentation, as well as in the review and drafting of various documents relating to public private partnership agreements, primarily for a facilities management provider;

General Commercial. Cherryn-Paige provides clients with a range of general commercial legal services. To this end, Cherryn-Paige has conducted due diligences; advised clients in respect of property and company acquisition transactions; advised, drafted and negotiated an array of commercial agreements, which, amongst others include joint venture, shareholders and lease agreements; and has also drafted contract processes for clients;

Outsourcing. Cherryn-Paige’s experience in practise has predominately been in the advising, negotiating, structuring and drafting of outsourcing and business relationship agreements, service level agreements, performance measurement systems, payment mechanisms and the provision of contract management services in respect of outsourcing transactions. Cherryn-Paige’s experience in outsourcing transactions has mainly been in the areas of Facilities Management (including hard and soft services), IT, Cash Management and Cash Transport.

Cherryn-Paige regularly presents training courses on basic contract law and service level agreements, as well as in-house training relating to legal risks pertaining to clients’ projects.
